Format breakdown
Phone, video, and in-person each have distinct mechanics. The interviewer scoring rubric is the same, but the operational preparation is different.
Pre-OCI direct screeners are almost universally via Zoom or Webex.

Interviewers pick obscure lines from your resume and interrogate your logic and learning. Padded bullets are exposed fast.
“I see you wrote a paper on [niche topic]. Walk me through your thesis and the counterarguments.”
What they test. Intellectual depth, synthesis under pressure and honesty
Weak answer. Fumbling the details or failing to state a clear argument.
Strong answer. Succinctly state the problem, your original conclusion, and a nuanced grasp of the strongest opposing views without becoming defensive.
“You worked as an analyst before law school. How did that shape your problem-solving?”
What they test. Transferable skills, maturity and commercial background
Strong answer. Explain how managing competing client deadlines and parsing data taught you to anticipate client anxieties and communicate with brevity.
S&C looks for high emotional intelligence, low drama, resilience and client-service commitment. Note: avoid the "I worked too hard" fake weakness.
“How do you handle ambiguous or conflicting instructions from senior colleagues?”
What they test. Proactivity and professional judgment
Weak answer. I would just pick one and hope it is right.
Strong answer. Prioritize by client deadline, gather context independently, and ask targeted clarifying questions rather than guessing or freezing.
“Tell me about a mistake you made and how you handled it.”
What they test. Accountability and learning from failure
Strong answer. Immediate ownership, swift mitigation, and the lasting process change you put in place; never blame others or fake a mistake.
No financial modeling. You must track macro trends and understand how legal structures interact with corporate strategy.
“How do changing antitrust or regulatory landscapes affect cross-border M&A right now?”
What they test. Macro-environmental awareness and regulatory risk
Weak answer. The government is making it harder for companies to merge.
Strong answer. Discuss FTC/DOJ/European Commission scrutiny and how it forces robust termination and reverse break-up fees and extended regulatory drop-dead dates.
“Tell me about a matter S&C has handled recently that caught your eye.”
What they test. Firm-specific research and sincerity
Weak answer. Guessing a transaction that belonged to a competitor.
Strong answer. Name a specific S&C matter (FTX Chapter 11, Discover/Capital One, xAI/X) and the firm's actual role and the legal complexity involved.
Technical depth
S&C deliberately does not test technical finance (no DCF or LBO). "Technical" here means doctrinal and commercial-legal depth, tested conversationally.
Generalist motivation, what a first-year actually drives (due diligence, data rooms, ancillary docs, closing checklists), and regulatory/governance awareness.
Defending your law review note and writing sample under direct pushback, the value of document review and discovery, and enforcement/antitrust trends.
The rubric
The interviewer is checking against a scorecard. Knowing the categories is half the battle.
Aggregation. The interviewer scores you in a standardized portal within minutes; the Legal Talent Office and hiring partners review on a rolling basis.
